Welcome to Recipe Reel! These terms and conditions outline the rules and regulations for the use of the Recipe Reel mobile application (the “App”), operated by Journey Creative Solutions LLC (“we,” “our,” “us”).

By downloading, installing, and using the App, you accept and agree to be bound by these terms and conditions. If you do not agree to these terms, please do not use the App.

1. Use of the App

1.1 Eligibility: You must be at least 13 years old to use the App. By using the App, you represent and warrant that you meet this eligibility requirement.

1.2 License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes, subject to these terms and conditions.

2. Account Registration

2.1 Account Creation: To access certain features of the App, you are required to create an account. You agree to provide accurate and complete information during the registration process and to update such information as necessary to ensure it remains accurate and complete.

2.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Content and Services

3.1 AI-Generated Summaries: The App uses artificial intelligence to transcribe and summarize audio from Instagram posts and reels related to recipes. While we strive for accuracy, we do not guarantee the completeness, accuracy, or usefulness of the summaries.

3.2 Third-Party Content: The App may display content from third-party sources, including Instagram. We do not control, endorse, or assume responsibility for any third-party content.

4. User Conduct

4.1 Prohibited Activities: You agree not to use the App to:

• Violate any applicable laws or regulations;
• Infringe upon or violate our intellectual property rights or the rights of others;
• Upload or transmit viruses or other malicious code;
• Engage in any activity that interferes with or disrupts the App.

5. Intellectual Property

5.1 Ownership: All intellectual property rights in the App from our company only, including but not limited to software, text, images, and logos, are owned by us or our licensors. You agree not to reproduce, distribute, modify, or create derivative works of any content from the App without our prior written consent. All other content is owned by the third-party creators and we make no claims of ownership.

6. Disclaimer of Warranties

6.1 No Warranty: The App is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the App, including but not limited to its accuracy, reliability, or availability.

7. Limitation of Liability

7.1 Maximum Liability: In no event shall Journey Creative Solutions LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever arising out of or related to your use of the App. Our liability is limited to the maximum extent permitted by law.

8. Termination

8.1 Termination by Us: We may terminate or suspend your access to the App at any time, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these terms.

8.2 Termination by You: You may terminate your account and cease using the App at any time.

9. Changes to Terms

9.1 Modifications: We reserve the right to modify these terms and conditions at any time. We will notify you of any changes by posting the new terms on the App. Your continued use of the App after such changes constitutes your acceptance of the new terms.

10. Governing Law

10.1 Governing Law: These terms and conditions are governed by and construed in accordance with the laws of Michigan, without regard to its conflict of law principles.

10.2 Dispute Resolution: Any disputes arising out of or in connection with these terms and conditions shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Grand Rapids, MI or another mutually agreed upon location. You agree to waive any right to a trial by jury or to participate in a class action lawsuit.

11. Indemnification

11.1 User Indemnity: You agree to indemnify, defend, and hold harmless Journey Creative Solutions LLC, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:

• Your use of and access to the App;
• Your violation of any term of these Terms and Conditions;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
• Any claim that your use of the App caused damage to a third party.

12. Data Deletion Instructions

12.1 Requesting Data Deletion: If you wish to delete your account and all associated data, please follow these steps:

• Open the Recipe Reel app and navigate to the “Settings” section.
• Select “Account Settings” and then choose “Delete Account.”
• Confirm your decision by following the on-screen instructions.

12.2 Email Request: Alternatively, you can request data deletion by sending an email to support@myreelrecipes.com with the subject line “Data Deletion Request” and including your account details.

12.3 Processing Time: We will process your data deletion request within 30 days. Upon completion, you will receive a confirmation email.

12.4 Consequences of Deletion: Please note that deleting your account will remove all your data from our systems, including your profile information, preferences, and any saved or bookmarked content. This action is irreversible.

13. Refund Policy

13.1 No Refunds: All purchases made through the Recipe Reel app are final and non-refundable. We do not offer refunds for any reason, including but not limited to dissatisfaction with the App, accidental purchases, or issues related to third-party content.

13.2 Exceptional Circumstances: In exceptional circumstances, and at our sole discretion, we may consider a refund request. Any such request must be submitted to support@myreelrecipes.com within 14 days of the purchase date, providing detailed reasons for the request. However, we reserve the right to deny any refund request for any reason.

14. Usage Limitations

14.1 Fair Use Policy: To ensure the quality and availability of our services for all users, we have implemented a fair use policy. Users are expected to use our services in a reasonable manner, consistent with the purpose for which the services are provided. Excessive or abusive usage that may affect the performance or availability of the services for other users is prohibited. Journey Creative Solutions LLC reserves the right to monitor usage patterns and may take corrective action, including but not limited to limiting, suspending, or terminating access to the services for users who violate this policy.

14.2 Free Trial Users: Free trial users are allowed to summarize up to 5 recipes per day. If a free trial user exceeds this limit, their access to the summarization feature will be restricted until the following day.

14.3 Paid Subscription Users: Paid subscription users enjoy unlimited generations. However, we reserve the right to review and limit access if we detect behavior that severely impacts the performance and availability of our services for other users.

14.4 Abuse of Feature: If we detect that a user is abusing the summary feature in a manner that affects service quality, we reserve the right to limit or restrict their access to the App’s summarization functionality. Abuse may include, but is not limited to, excessive automated requests or any activity that significantly deviates from typical usage patterns.

14.5 Notification: Users who exceed the fair use limits or whose usage behavior is deemed abusive will receive a warning notification. Continued abuse after receiving a warning may result in further restrictions, including temporary or permanent suspension of access to the summarization feature.

14.6 Appeals: Users who believe their access has been unfairly restricted may contact us at support@myreelrecipes.com to appeal the decision. We will review appeals on a case-by-case basis and make a determination at our sole discretion.

14.7 Refunds for Usage Limitations: Users who have their access limited or restricted due to abuse of the feature are not eligible for refunds. As stated in our refund policy, all purchases are final and non-refundable.

14.8 Escalation: Users who wish to escalate their concerns about usage limitations or any other issues may contact us at support@myreelrecipes.com. We will review and respond to all escalations in a timely manner. However, our decision on such matters is final and binding.

14.9 Policy Changes: We reserve the right to change the fair use limits and policies at any time. Users will be notified of any changes via the App or email.

14.10 Service Termination: In the event that Recipe Reel discontinues its services, users who purchased lifetime access will be offered a pro-rated refund based on the duration of service provided compared to an expected service period of 3 years.

14.11 Account Sharing Restrictions: Accounts provided by Recipe Reel are intended for individual use only. Sharing of account credentials or allowing multiple individuals to access the services using a single account is strictly prohibited. Journey Creative Solutions LLC reserves the right to monitor access patterns and may take corrective action, including but not limited to limiting, suspending, or terminating access to the services for users found to be sharing their account credentials. Users are responsible for maintaining the confidentiality of their account information and for all activities that occur under their account.

14.12 Revocation of Access: Journey Creative Solutions LLC reserves the right to revoke access to the services at its sole discretion if a user is found to be in violation of these Terms of Use, including but not limited to the Fair Usage Policy and Account Sharing Restrictions. In the event of such revocation, Journey Creative Solutions LLC may provide a pro-rated refund based on the duration of service used compared to the expected service period, subject to the specific terms outlined in our Refund Policy. Users will be notified of any revocation of access and the reasons for such action.

15. Lifetime Subscription Continuity

15.1 Company Sale or Transfer: In the event that Recipe Reel is sold or undergoes a transfer of ownership, Journey Creative Solutions LLC will make commercially reasonable efforts to ensure that lifetime subscriptions are honored by the new owner. The new owner will assume the obligations to provide the service to lifetime subscribers as per the original terms and conditions agreed upon at the time of purchase.

15.2 Company Shutdown: If Recipe Reel ceases operations and permanently shuts down its services, the following provisions will apply to lifetime subscribers:

     a. Notice: Lifetime subscribers will be provided with at least 60 days’ notice prior to the shutdown of services. This notice will include the date of service termination and instructions for data export and other relevant actions.

     b. Refund Policy: Journey Creative Solutions LLC will offer a pro-rated refund to lifetime subscribers based on the duration of service provided compared to an expected service period of 3 years. The pro-rated refund will be calculated as follows:

Refund Amount = (Lifetime Subscription Fee / Expected Service Period​) × (Expected Service Period − Duration of Service Provided)

     c. Data Export: Lifetime subscribers will have the opportunity to export their data before the shutdown date. Journey Creative Solutions LLC will provide tools and support to facilitate this process.

15.3 General Provisions: These provisions are intended to ensure fairness and transparency for lifetime subscribers in the event of significant changes to Recipe Reel’s operations. For any questions or concerns regarding this clause, lifetime subscribers are encouraged to contact Recipe Reel’s customer support.

16. Severability

16.1 Severability Clause: If any provision of these terms and conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these terms and conditions, which will otherwise remain in full force and effect.

17. Changes to the App

17.1 Modification or Discontinuation: We reserve the right to modify, suspend, or discontinue, temporarily or permanently, the App (or any part thereof) with or without notice. You agree that Journey Creative Solutions LLC shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the App.

18. Third-Party Links

18.1 Third-Party Websites: The App may contain links to third-party websites or services that are not owned or controlled by Journey Creative Solutions LLC. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Journey Creative Solutions LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

19. Advertising

19.1 Advertising and Promotions: The App may display advertisements and promotions. You agree that Journey Creative Solutions LLC shall not be responsible or liable for any loss or damage of any sort incurred as a result of any dealings or interactions with advertisers within the App.

20. User Feedback

20.1 Feedback: We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the App (“Feedback”). You may submit Feedback by emailing us at support@myreelrecipes.com. You acknowledge and agree that all Feedback will be the sole and exclusive property of Journey Creative Solutions LLC, and you hereby irrevocably assign to us all of your right, title, and interest in and to all Feedback, including any intellectual property rights therein.

21. Entire Agreement

21.1 Entire Agreement: These terms and conditions, along with our Privacy Policy, constitute the entire agreement between you and Journey Creative Solutions LLC regarding your use of the App and supersede any prior agreements or understandings, whether written or oral, relating to such subject matter.
